Terms of Service

These Terms of Service ("Terms") govern access to and use of the Padma application and the padmahq.com website (together, the "Service"). Padma is a product of DyGarn Technical Solutions ("DyGarn", "we", "us"), based in Halifax, Nova Scotia, Canada. By using the Service, you and the organization you represent ("Customer", "you") agree to these Terms.

1. The Service

Padma is a software-as-a-service platform that helps electrical and lighting rep agencies operate their business, including quoting, projects, submittals, orders, commissions, and CRM, with optional connections to tools you already use. Commercial terms such as pricing, plan, and subscription period are set out in a separate order or agreement between you and DyGarn.

2. Accounts

You are responsible for your account, for keeping login credentials secure, and for the activity of the users you invite. Notify us promptly of any unauthorized use.

3. Customer data and ownership

You retain all rights to the data your organization puts into Padma, including data about your contacts and customers ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Service. Our handling of personal information is described in our Privacy Policy.

4. Third-party integrations

Padma can connect to third-party services you authorize, such as Google or Microsoft email. Your use of those services is governed by their own terms, and you are responsible for having the right to connect them. You may disconnect an integration at any time.

5. Acceptable use

You agree not to misuse the Service, including by attempting to breach security, access data you are not authorized to access, disrupt the Service, reverse engineer it except as permitted by law, or use it to violate any law or the rights of others.

6. Availability

We work to keep the Service available and reliable, but we do not guarantee it will be uninterrupted or error-free. We may perform maintenance and update features from time to time.

7. Confidentiality

Each party will protect the other's confidential information and use it only as needed to perform under these Terms.

8. Disclaimer

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

9. Limitation of liability

To the fullest extent permitted by law, DyGarn will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or data, arising from your use of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Termination

Either party may terminate as set out in the applicable order or for material breach. On termination, your right to use the Service ends, and we will delete or return Customer Data as described in our Privacy Policy, subject to legal retention obligations.

11. Governing law

These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable there, without regard to conflict-of-laws principles. Disputes are subject to the courts located in Nova Scotia.

12. Changes to these Terms

We may update these Terms from time to time. Changes take effect when posted, and the "Last updated" date will reflect the revision. Material changes will be communicated within the product or by email.
